Result of AGM
The Annual General Meeting of TheWorks.co.uk plc (AIM:WRKS) was held at 2.00 p.m. on Monday 7 September 2026. The Board of Directors of the Company (the "Board") is pleased to announce that all of the resolutions, with the exception of Resolution 15 (which was requisitioned by Kelso Group Holdings plc ("Kelso") and proposed the appointment of Graeme Coulthard as a director), were passed on a poll.

Notes:
1. Any proxy arrangement which gave discretion to the Chairman has been included in the "for" totals.
2. A "Vote withheld" is not a vote in law and is not counted in the calculation of the percentage of shares voted "For" or "Against" any resolution.
3. The number of shares in issue at 6:30 p.m. on 3 September 2026 was 62,500,000. The Company does not hold any shares in treasury.
The Board notes the level of votes cast against Resolution 4, of which more than 99% was from two shareholders. The Board is aware of the reasons for these shareholders' adverse votes in respect of Resolution 4. The Board will continue to engage with these shareholders, as it will with other significant shareholders, as part of its ongoing investor relations activity.
As Resolution 15 was not passed, Mr Coulthard has not been appointed as a director of the Company. While 48.39% of votes cast in respect of Resolution 15 were in favour of Mr Coulthard's appointment, the Board notes that these votes were from a small number of shareholders. The Board is grateful for the support of its other shareholders who voted in accordance with its recommendations.
Change of Company Name to TheWorks plc
Further to receipt of shareholder approval of Resolution 14, the Special Resolution required to authorise changing the Company's registered name to TheWorks plc, such change is subject to Companies House issuing a Certificate of Incorporation on Change of Name. A further announcement will be made in due course following receipt of such certificate. Shareholders will remain unaffected by the change when made effective and existing share certificates will remain valid and should be retained.
